Terms of Service
These Terms of Service ("Terms") govern access to and use of the Training Sensei platform (the "Service"), provided by Truffula Ltd, a company registered in England and Wales (company number 15079375), trading as Training Sensei ("Sensei", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, your organisation ("Customer", "you").
1. The Service
Sensei provides a cloud-based learning platform and course library, accessible via web browser and our mobile app, together with optional Delivery Partner support services described on our website.
2. Free trial
We may offer a free trial period of the Service. We may end or modify a free trial at any time without notice. If you do not cancel before the trial ends, you may be asked to choose a paid plan to continue using the Service.
3. Subscriptions and payment
Paid plans are billed monthly or annually in advance, in accordance with the pricing agreed at sign-up. Fees are exclusive of VAT unless stated otherwise. Unless cancelled in line with your agreed notice period, subscriptions renew automatically at the then-current price.
4. Acceptable use
You agree to use the Service only for lawful purposes, not to attempt to disrupt or reverse-engineer the Service, and to keep your account credentials secure. You are responsible for the conduct of learners you register on your account.
5. Intellectual property
We and our licensors own all rights in the Service and its course content. We grant you a non-exclusive, non-transferable licence to access and use the Service for your organisation's internal training purposes during your subscription. Any content you upload remains yours, but you grant us a licence to host and display it as part of the Service.
6. Data protection
Each party will comply with applicable data protection law, including the UK GDPR. Our processing of personal data submitted to the Service is described in our Privacy & Cookies Policy.
7. Availability and support
We will use reasonable endeavours to keep the Service available, but do not guarantee uninterrupted access, and may carry out planned maintenance from time to time. Support is provided in accordance with the plan you have selected.
8. Limitation of liability
To the extent permitted by law, our liability arising from or in connection with these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential losses, including loss of profits or business opportunity.
9. Termination
Either party may terminate a subscription in accordance with the notice period agreed at sign-up. We may suspend or terminate access immediately if these Terms are materially breached or fees remain unpaid.
10. Changes to these Terms
We may update these Terms from time to time. We will take reasonable steps to notify you of material changes. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
